Can an owner who lives outside Florida form and run a Florida LLC?
Yes. Florida's residency rule covers the registered agent, not members or managers, so an owner in another state can form and run a Florida LLC through Sunbiz.
Yes. Articles of organization are filed with the Division of Corporations through Sunbiz under section 605.0201, Florida Statutes. The articles list the street and mailing addresses of the company's principal office and the name and Florida street address of the registered agent.
Section 605.0113 requires the registered agent to be an individual who resides in Florida or an authorized business entity, with a business address matching the registered office. Neither section applies that Florida residency rule to members or managers.
