Does a Florida LLC protect the owners' personal assets?
Generally yes. A Florida LLC's debts belong to the company, but a member stays liable for obligations taken on personally, such as a personal guarantee of a loan.
Under section 605.0304, Florida Statutes, the debts and liabilities of a Florida LLC belong to the company, and a member or manager is not personally liable solely because of that role.
That protection does not cover obligations a member takes on personally, such as a personal guarantee of a company loan or lease. Failing to follow company formalities is not by itself a ground for personal liability.
For a member's personal creditor, section 605.0503 generally limits the remedy to a charging order on the member's distributions. A single member LLC interest can be sold by court order in limited cases.
